1. PREAMBLE
This Agent Registration Policy (“Policy”) is a legally binding document between BOOKOURBUS, a registered Partnership Firm under the laws of India, having its principal office at D-29, Vibhuti Khand, Gomti Nagar, Lucknow, Uttar Pradesh – 226010 (“BOOKOURBUS”, “Company”, “we”, “our”, or “us”), and each individual or entity applying to act as a Sales Agent (“Agent”, “you”, or “your”) on the BOOKOURBUS Platform. This Policy governs the conditions for registration, operation, commissions, and responsibilities of Agents who facilitate ticket bookings, group reservations, or tour packages through the BOOKOURBUS system. By registering as an Agent, you expressly acknowledge that you have read, understood, and agreed to be bound by this Policy.
2. LEGAL FRAMEWORK
2.1 This Policy is issued in accordance with: (a) The Indian Contract Act, 1872; (b) The Information Technology Act, 2000 and the rules made thereunder; (c) The Consumer Protection Act, 2019; (d) The Motor Vehicles Act, 1988, where applicable; and (e) The Goods and Services Tax (GST) laws relating to travel and agency services. 2.2 BOOKOURBUS acts solely as a technology intermediary providing a digital marketplace connecting bus operators, agents, and customers. BOOKOURBUS does not own, operate, or control buses and does not directly employ Agents. 2.3 The relationship between BOOKOURBUS and the Agent is strictly that of independent contracting parties. Nothing contained in this Policy shall be construed to create any partnership, employment, franchise, or agency relationship beyond the limited purpose of facilitating bookings.
3. DEFINITIONS
For the purposes of this Policy: • “Agent” means any individual, firm, or entity approved by BOOKOURBUS to sell or facilitate bus and tour bookings on behalf of the Company. • “Platform” refers to the BOOKOURBUS website, mobile application, and associated digital interfaces. • “Customer” means any end-user who purchases travel services through the Agent using the Platform. • “Commission” means the percentage of booking value earned by the Agent for facilitating confirmed transactions. • “Agreement” means the legally binding relationship created upon acceptance of this Policy and successful registration on the Platform. • “Suspension” means temporary restriction of Agent access due to non-compliance or misconduct.
4. ELIGIBILITY FOR AGENT REGISTRATION
To qualify for registration as a BOOKOURBUS Agent, the applicant must meet the following criteria: 4.1 Be an Indian citizen or a business entity legally registered in India (Proprietorship, Partnership, LLP, or Private Limited Company). 4.2 Hold a valid PAN and GST registration (if applicable). 4.3 Maintain a verifiable bank account for commission settlements. 4.4 Have basic infrastructure for internet connectivity and customer service. 4.5 Be of sound financial standing and reputation with no history of fraud or default in travel business. BOOKOURBUS reserves the right to reject any application without disclosure of reasons if eligibility criteria are not met.
5. REGISTRATION PROCESS
5.1 Applicants must complete the digital registration form available at www.bookourbus.com/agents/register or submit offline applications where permitted. 5.2 The following documents are mandatory for registration: (a) PAN Card copy; (b) Business Registration or Partnership Deed; (c) GST certificate (if registered); (d) Address and ID proof (Aadhaar or Passport); (e) Cancelled cheque for bank verification; (f) Any other document reasonably requested by BOOKOURBUS. 5.3 BOOKOURBUS will conduct KYC and background verification including validation of identity, contact details, and financial credentials. 5.4 Upon approval, the Agent will receive a unique Agent ID and login credentials for access to the BOOKOURBUS Agent Dashboard. 5.5 Registration is deemed complete only after the Agent electronically accepts this Policy and acknowledges the BOOKOURBUS Terms of Service.
6. VALIDITY AND RENEWAL
6.1 Registration shall remain valid for a period of one (1) year from the date of approval, unless suspended or terminated earlier. 6.2 Renewal is subject to satisfactory performance, compliance history, and payment of any applicable renewal fees. 6.3 BOOKOURBUS reserves the right to alter renewal terms or require additional documentation in line with regulatory changes.
7. VERIFICATION AND AUDIT
7.1 BOOKOURBUS may carry out periodic audits of Agent activities to ensure compliance with this Policy and applicable laws. 7.2 The Agent shall provide full co-operation and make available all relevant records when requested. 7.3 Failure to co-operate may lead to temporary suspension or termination of registration.
8. RIGHTS AND PRIVILEGES OF REGISTERED AGENTS
8.1 Upon successful registration and verification, the Agent shall be granted limited, non-exclusive access to the BOOKOURBUS Platform to: (a) Facilitate bus ticket and tour bookings for customers; (b) Access real-time availability, fares, and schedules of listed operators; (c) Collect customer payments and issue booking confirmations through the BOOKOURBUS system; (d) View transaction reports, settlement statements, and commissions through the Agent Dashboard. 8.2 Registration as an Agent does not confer ownership, partnership, employment, or joint venture status with BOOKOURBUS. 8.3 BOOKOURBUS reserves the right to modify, suspend, or withdraw any feature or functionality of the Platform at its discretion.
9. DUTIES AND OBLIGATIONS OF THE AGENT
9.1 The Agent shall: (a) Use the Platform in a lawful, honest, and transparent manner; (b) Provide accurate customer information while booking tickets; (c) Issue valid booking receipts generated through BOOKOURBUS systems only; (d) Maintain confidentiality of login credentials and customer data; (e) Provide prompt customer support, including rescheduling or cancellation requests; (f) Refrain from misrepresenting BOOKOURBUS’s services or fares. 9.2 The Agent shall not: (a) Engage in fraudulent or speculative bookings; (b) Overcharge customers beyond the fare displayed on the Platform; (c) Solicit direct payment outside the BOOKOURBUS system; (d) Share, resell, or misuse the BOOKOURBUS API or dashboard access. 9.3 BOOKOURBUS may, at its discretion, conduct periodic reviews of Agent activities. Repeated violations may result in suspension or permanent delisting.
10. COMMISSION STRUCTURE
10.1 Agents shall earn commissions for each confirmed booking made through their registered account, in accordance with BOOKOURBUS’s prevailing commission policy. 10.2 The commission percentage shall vary based on: (a) Type of service (bus, tour, group booking); (b) Region or Operator agreements; (c) Volume of monthly bookings; (d) Promotional schemes or tier-based structures. 10.3 BOOKOURBUS reserves the right to revise commission rates, service fees, or eligibility criteria from time to time with reasonable notice to the Agents. 10.4 Commission is calculated on the net fare amount (excluding taxes, convenience fee, and third-party charges). 10.5 BOOKOURBUS shall not pay commission on: (a) Cancelled or refunded bookings; (b) Fraudulent or duplicate transactions; (c) Bookings voided under legal or regulatory restrictions. 10.6 All commissions shall be subject to applicable tax deductions (TDS/GST) as per Indian law.
11. PAYMENT AND SETTLEMENT TERMS
11.1 Commission settlements shall be made directly to the Agent’s registered bank account. 11.2 Payment cycles shall typically occur on a bi-weekly or monthly basis, depending on business volume and reconciliation. 11.3 BOOKOURBUS shall deduct its platform fees, taxes, penalties, or chargebacks prior to releasing payment. 11.4 BOOKOURBUS shall not be responsible for delays arising from: (a) Bank holidays, technical issues, or payment gateway downtime; (b) Incorrect or incomplete bank details provided by the Agent. 11.5 Any dispute regarding settlement amounts must be raised within seven (7) working days of receipt.
12. MARKETING AND BRAND REPRESENTATION
12.1 The Agent may represent BOOKOURBUS to customers strictly within the scope of this Policy. 12.2 Any marketing or promotional activity using the BOOKOURBUS brand, logo, or material shall require prior written approval. 12.3 Misuse, alteration, or imitation of BOOKOURBUS branding shall be treated as a material breach and may attract legal consequences.
13. CODE OF CONDUCT
13.1 Agents shall conduct all business in a professional and ethical manner. 13.2 The following shall constitute a violation of the Code of Conduct: (a) Abusive behaviour toward customers or BOOKOURBUS staff; (b) Misrepresentation of services; (c) Discrimination on grounds of gender, religion, or region; (d) Circulation of confidential information or trade secrets; (e) Manipulation of fares or seats for personal gain. 13.3 BOOKOURBUS may, at its discretion, publish an internal rating or performance index based on customer feedback, accuracy, and reliability. 13.4 Agents failing to maintain minimum service quality standards may be downgraded, suspended, or permanently blacklisted.
14. COMPLIANCE WITH LAW
14.1 Agents must comply with all laws, regulations, and policies applicable to travel and e-commerce business, including but not limited to: (a) Income Tax Act, 1961; (b) Goods and Services Tax (GST) laws; (c) Indian Penal Code (for offences relating to fraud or misrepresentation); (d) Information Technology (Intermediary Guidelines) Rules, 2021. 14.2 The Agent shall maintain proper books of account, issue invoices where applicable, and remit taxes promptly. 14.3 BOOKOURBUS may, at any time, request proof of compliance (such as GST filings, invoices, or licences). Non-compliance shall attract suspension or termination.
15. SUSPENSION AND TERMINATION
15.1 BOOKOURBUS may suspend, restrict, or terminate the Agent’s registration temporarily or permanently, without liability, under the following circumstances: (a) Violation or breach of this Policy or any applicable law; (b) Submission of false or misleading information during registration or operation; (c) Fraudulent or speculative bookings detected through the Agent account; (d) Customer complaints of overcharging, misconduct, or service negligence; (e) Misuse of BOOKOURBUS’s brand, intellectual property, or confidential data. 15.2 BOOKOURBUS shall ordinarily issue a written or electronic notice specifying the reason for suspension and provide an opportunity for the Agent to respond within seven (7) working days, except in cases involving fraud, criminal activity, or urgent regulatory action. 15.3 Upon termination: (a) All access credentials of the Agent shall be disabled; (b) BOOKOURBUS shall settle pending commissions (if any) after reconciliation; (c) Any outstanding dues or liabilities owed by the Agent shall remain enforceable. 15.4 An Agent whose registration is terminated may apply for re-registration only after a cooling-off period of six (6) months, subject to BOOKOURBUS’s approval.
16. LIMITATION OF LIABILITY
16.1 BOOKOURBUS acts solely as a technology platform and booking intermediary. 16.2 Under no circumstance shall BOOKOURBUS be held liable for: (a) Losses arising from operator cancellations or customer defaults; (b) Financial disputes between Agent and customer; (c) Technical errors or downtime beyond reasonable control; (d) Indirect, incidental, or consequential damages. 16.3 The maximum liability of BOOKOURBUS, if any, shall not exceed the total unpaid commission legitimately due to the Agent for the specific transaction giving rise to such claim.
17. INDEMNIFICATION
17.1 The Agent agrees to indemnify and hold harmless BOOKOURBUS, its partners, officers, employees, and affiliates from all losses, claims, damages, penalties, and expenses (including legal fees) arising from: (a) Any breach of this Policy or applicable law; (b) Any negligent, fraudulent, or unauthorized activity by the Agent; (c) Any customer complaint or regulatory action resulting from the Agent’s conduct. 17.2 BOOKOURBUS reserves the right to deduct indemnified amounts or penalties from future commission payments or to recover them separately through legal means.
18. CONFIDENTIALITY
18.1 Both BOOKOURBUS and the Agent agree to keep all business, operational, and customer data confidential and not to disclose it to third parties except where required by law. 18.2 Agents shall ensure that their staff, employees, or sub-agents maintain the same level of confidentiality. 18.3 The confidentiality obligations under this clause shall survive the termination of this Policy for a period of three (3) years.
19. INTELLECTUAL PROPERTY RIGHTS
19.1 All intellectual property, logos, software, and designs used on the BOOKOURBUS Platform remain the exclusive property of BOOKOURBUS. 19.2 The Agent is granted a limited, revocable, non-transferable right to use BOOKOURBUS trademarks for business representation purposes only, subject to written consent. 19.3 Unauthorized use, reproduction, or modification of BOOKOURBUS intellectual property shall attract legal action under the Trade Marks Act, 1999.
20. FORCE MAJEURE
20.1 Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to: (a) Acts of God, natural disasters, or pandemics; (b) Strikes, riots, or civil unrest; (c) Governmental orders, restrictions, or regulatory shutdowns; (d) Cyber incidents or systemic failures. 20.2 The affected party shall notify the other party within forty-eight (48) hours of such event and resume obligations once conditions normalize.
21. DISPUTE RESOLUTION AND ARBITRATION
21.1 All disputes, differences, or claims arising out of or relating to this Policy shall first be resolved amicably through mutual discussion within fifteen (15) days of notice. 21.2 If unresolved, such dispute shall be referred to arbitration under the provisions of the Arbitration and Conciliation Act, 1996, as amended: (a) The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties; (b) The seat and venue of arbitration shall be Lucknow, Uttar Pradesh, India; (c) The arbitration proceedings shall be conducted in the English language. 21.3 The arbitral award shall be final and binding upon both parties, and enforceable in accordance with Indian law.
22. GOVERNING LAW AND JURISDICTION
22.1 This Policy shall be governed by and construed in accordance with the laws of India. 22.2 Subject to Clause 21, all legal proceedings shall fall under the exclusive jurisdiction of the Courts of Lucknow and the High Court of Allahabad (Lucknow Bench).
23. NOTICES

24. AMENDMENT AND SEVERABILITY
24.1 BOOKOURBUS reserves the right to modify or amend this Policy at any time without prior notice. Updated versions will be published on the Platform and shall take effect immediately upon posting. 24.2 If any provision of this Policy is held invalid or unenforceable by a competent court, the remaining provisions shall continue in full force and effect.
25. DECLARATION AND ACCEPTANCE
By registering as an Agent on the BOOKOURBUS Platform, you hereby: (a) Declare that the information provided during registration is accurate and complete; (b) Confirm that you have read, understood, and agreed to the terms of this Policy; (c) Undertake to comply with all applicable laws and BOOKOURBUS guidelines; (d) Acknowledge that breach of these terms may lead to suspension, termination, and legal action.
26. EFFECTIVE EXECUTION
This Policy is accepted electronically upon registration and constitutes a valid and binding agreement between the Agent and BOOKOURBUS under Section 10A of the Information Technology Act, 2000.
CONCLUSION
This Policy sets forth the complete legal and operational framework governing the relationship between BOOKOURBUS and its registered Agents. Compliance with these terms is essential to ensure fairness, transparency, and reliability across all travel and ticketing operations.
